These Terms of Service ("Terms") govern your access to and use of Based.

By creating an account, purchasing a subscription, or using Based, you agree to these Terms. If you use Based on behalf of a campaign or organization, you confirm that you have authority to agree to these Terms on its behalf.

1. About Based

Based is a campaign management platform operated by Dwellest Inc o/a Based ("Based," "we," "us," or "our").

Based provides tools that may include campaign websites, canvassing, supporter and volunteer management, lawn sign tracking, event management, contribution processing, expense tracking, and other campaign-management features.

Based provides software and technology. We are not a law firm, accounting firm, election authority, municipality, or regulatory body, and we do not provide legal, accounting, financial, or regulatory advice.

You are responsible for determining the requirements that apply to your campaign and ensuring your campaign complies with them.

2. Accounts

You must be legally able to enter into a binding agreement to create a Based account and must provide accurate account information.

Account authentication is provided through Google Firebase.

You are responsible for controlling access to your campaign by campaign team members and volunteers and for activity performed through accounts to which you grant access.

Contact support@getbased.ca if you believe your account or campaign has been accessed without authorization.

3. Your Campaign Data

You retain ownership of the content and information you enter, upload, create, or collect through Based ("Campaign Data"), including campaign content, resident and supporter information, canvassing records, volunteer information, donor records, contributions, events, and expenses.

You give Based permission to host, store, process, transmit, display, back up, and otherwise handle Campaign Data as reasonably necessary to provide and operate the service. Based does not acquire ownership of your Campaign Data.

You are responsible for the Campaign Data you collect, upload, and use. You agree to collect and use personal information only where you have the right to do so and in accordance with applicable law.

You must not upload or collect personal information obtained unlawfully and are responsible for responding to legitimate requests concerning personal information collected by your campaign.

Our handling of personal information is further described in our Privacy Policy.

4. Acceptable Use and Campaign Content

You may not use Based to:

• Violate applicable law
• Harass, threaten, intimidate, or unlawfully discriminate against another person
• Engage in voter suppression or unlawful interference with an election
• Knowingly publish false information about voting procedures, locations, eligibility, or election administration
• Impersonate another candidate, campaign, public official, or organization
• Infringe another person's intellectual property or legal rights
• Access another user's account or Campaign Data without authorization
• Introduce malicious software or interfere with Based's operation or security
• Scrape or automatically extract information from Based without permission
• Reverse engineer Based except where permitted by law
• Resell or sublicense access without our permission
• Use Based for fraudulent, abusive, or unlawful purposes

You are responsible for content published through your campaign and for ensuring your campaign materials contain any notices, disclosures, or authorizations required by applicable law.

We may remove content or restrict, suspend, or terminate access where we reasonably believe these Terms or applicable law have been violated, or where necessary to protect Based, our users, or others.

5. Domains and Third-Party Services

Based may allow you to purchase a domain through us or connect an existing domain.

Domain registrars and other third-party providers may have their own terms, verification requirements, renewal policies, and fees. You are responsible for completing required verification and maintaining accurate registration and payment information.

Where a domain has been purchased for your campaign through Based, you may request its transfer to you or another registrar, subject to applicable registrar and registry requirements.

Based also relies on third-party providers for services such as application hosting, authentication, payment processing, communications, analytics, and infrastructure. Your use of certain features may be subject to the applicable provider's terms and policies.

We are not responsible for interruptions, changes, or failures caused by providers outside our reasonable control.

6. Campaign Contributions

Based may allow campaigns to accept contributions through their campaign websites. Payments are processed through third-party payment providers such as Stripe, and campaigns may be required to complete the provider's account and identity verification requirements.

Based does not store complete payment card numbers.

A transaction fee of 3.5% + $0.30 may apply to each contribution processed through Based.

You are responsible for determining whether contributions received by your campaign may legally be accepted. This includes responsibility for applicable contributor eligibility, contribution limits, recordkeeping, reporting, refunds, receipts, and campaign finance requirements.

Based provides technology to facilitate transactions and maintain records but does not guarantee that a contribution is legitimate, authorized, or compliant with applicable election or campaign finance laws.

You are responsible for reviewing contribution activity and taking appropriate action regarding fraudulent, unauthorized, disputed, ineligible, or otherwise improper contributions.

7. Subscription, Billing, and Cancellation

Certain Based features require payment. Current prices, included features, and applicable fees are displayed when you purchase a subscription or on our pricing page.

Unless otherwise stated, prices are in Canadian dollars and applicable taxes may be added.

Subscriptions may automatically renew where indicated at purchase. You may cancel through your account or applicable billing portal, with cancellation taking effect according to the terms applicable to your subscription.

Any applicable refund policy will be presented at the time of purchase.

We may change pricing or subscription offerings from time to time. Changes will not retroactively affect amounts already paid.

8. Intellectual Property

Based and its software, design, branding, documentation, features, and underlying technology are owned by Based or its licensors.

Subject to these Terms and payment of applicable fees, you receive a limited, non-exclusive, non-transferable right to use Based for your campaign.

These Terms do not transfer ownership of Based or its intellectual property to you. Feedback or suggestions you provide may be used to improve the service without obligation to you.

9. Availability and Changes

We work to keep Based available and reliable but do not guarantee uninterrupted or error-free service.

Based may be unavailable because of maintenance, updates, technical problems, third-party services, security issues, or circumstances outside our reasonable control.

We may modify, add, remove, or discontinue features as the platform evolves. Where a material change significantly affects a paid service, we will provide notice where reasonably practicable.

10. Suspension and Termination

We may suspend or terminate your access if you materially breach these Terms, fail to make required payments, create a legal or security risk, threaten the operation or integrity of Based or the rights of others, or where required by law.

Where reasonably practicable, we will provide notice and an opportunity to address a remediable breach.

Following cancellation or termination, access to Campaign Data may be limited or removed in accordance with our data-retention practices and Privacy Policy.

You are responsible for retaining or exporting records your campaign is legally required to keep.

11. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, Based is provided on an "as is" and "as available" basis.

We do not guarantee that the service will be uninterrupted or error-free, that every feature will remain available, that Campaign Data will never be lost or corrupted, that using Based will satisfy every legal or regulatory requirement applicable to your campaign, or that using Based will produce any particular campaign or election outcome.

You remain responsible for your campaign's decisions, activities, records, communications, contributions, and legal obligations.

To the fullest extent permitted by law, Based and its officers, directors, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the service, including loss of revenue, contributions, opportunity, data, reputation, or other economic loss.

To the fullest extent permitted by law, Based's total aggregate liability arising from or relating to the service or these Terms will not exceed [LIABILITY CAP TO BE CONFIRMED WITH COUNSEL].

Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold Based harmless from third-party claims, losses, liabilities, chargebacks, penalties, costs, and reasonable expenses arising from:

• Your Campaign Data or campaign content
• Your collection or use of personal information
• Contributions made to or accepted by your campaign, including fraudulent, unauthorized, disputed, ineligible, or unlawful contributions
• Refunds, reversals, or chargebacks relating to campaign contributions
• Your violation of these Terms or applicable law
• Your infringement of another person's rights

This does not apply to the extent a claim or loss results from Based's own unlawful conduct.

13. Governing Law and General Terms

These Terms are governed by the laws of Ontario and applicable federal laws of Canada. Any dispute arising from these Terms or your use of Based will be subject to the jurisdiction of the courts of Ontario, unless applicable law requires otherwise.

We may update these Terms as Based evolves or applicable requirements change. If we make material changes, we will provide reasonable notice where required or appropriate.

If any provision is unenforceable, the remaining provisions continue to apply. Our failure to enforce a provision does not waive our right to enforce it later.

You may not assign your rights under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of our business.

These Terms, together with our Privacy Policy and any additional terms presented when you purchase or use a particular service, form the agreement between you and Based concerning the service.
